XER EVM CODE ORGANIZER PRO EULA
END-USER LICENSE AGREEMENT
Version 1.0 – Effective 3 November 2026
This End-User License Agreement (“Agreement”) is between EVM Controls Consulting LLC, a Texas limited liability company (“Licensor”), and the individual or organization accepting this Agreement (“You” or “Your”).
“Software” means XER EVM Code Organizer Pro, including its Excel add-in, Level 1 schedule feature, installer, documentation, and updates supplied under this Agreement.
By affirmatively clicking “I accept” or an equivalent acceptance control presented with this Agreement, You agree to its terms. If You accept on behalf of an organization, You represent that You have authority to bind that organization, and “You” means that organization. The organization is responsible for compliance by its authorized users.
If You do not agree, do not activate or use the Software. If You have already paid, contact Licensor promptly regarding any refund available under Sections 2.4 to 2.6 or applicable law.
1. LICENSE GRANT AND AUTHORIZED USE
1.1 Trial. Licensor grants You a limited license to evaluate the Software for fourteen (14) days from first use on a computer. Trial use is solely for evaluation and testing, including testing with copies of project data. Production reliance and delivery of trial-generated Output for paid client services are not authorized. After the trial expires, licensed functionality is disabled until a paid license is activated. You may not reset or circumvent the trial period.
1.2 Paid license. Subject to payment and compliance with this Agreement, Licensor grants You a nonexclusive, nonsublicensable license to install and use the Software on one computer by one designated named user for the purchased license term. Each additional user or computer requires a separate license unless Licensor expressly authorizes otherwise in writing.
1.3 Consulting use. You may use the paid Software for Your internal business purposes and to provide professional services to Your clients. You may deliver Output to clients, employers, and project teams. This permission does not authorize distribution of the Software, sharing license credentials, or providing third parties direct access to Software functionality through hosting, a service bureau, or a similar arrangement.
1.4 Machine licensing. A license key is associated with the designated user’s email address and one computer’s Machine ID. A separately configured virtual machine or remote desktop environment counts as a computer for licensing purposes. Remote access is permitted only by the designated user to the licensed installation; concurrent or shared use is prohibited.
1.5 Replacement and reassignment. Upon a reasonable request, Licensor will reissue a key following replacement of the licensed computer or an operating-system change that invalidates activation. You must discontinue use of the prior installation. Reissuance withdraws authorization to use the prior key, whether or not that key can be technically disabled. Named-user reassignment requires Licensor’s written approval and does not permit rotating or concurrent use.
1.6 Input data and Output. “Input Data” means project information You supply. “Output” means project-specific schedules, Gantt charts, Level 1 schedules, reports, PDFs, printouts, and XER files generated using the Software. As between You and Licensor, You retain all rights You hold in Input Data and Output, subject to Section 4 and any rights of Your clients or other third parties.
2. TERM, FEES, EXPIRATION, AND REFUNDS
2.1 Term. The paid license term is one (1) year from purchase unless an order confirmation issued or expressly accepted by Licensor specifies a different term.
2.2 No automatic renewal. The license does not renew automatically. You will not be charged for another term unless You affirmatively purchase it. Renewal pricing may differ from prior pricing.
2.3 Expiration. When the term expires, licensed functionality is disabled until a new license is activated. Expiration does not itself delete Your existing Input Data or Output. Viewing or editing existing files may require compatible third-party software. You are responsible for retaining any exports needed after expiration.
2.4 Evaluation and no refunds. The free 14-day trial described in Section 1.1 is Your opportunity to evaluate the Software, with all features enabled, before You buy. You agree to complete that evaluation before purchasing. Because a license key is issued for Your email address and Machine ID and activates immediately, all license fees are non-refundable once a license key has been issued, including for unused portions of the license term, except where applicable law requires otherwise.
2.5 Billing errors. If You are charged in error, such as a duplicate purchase or a charge You did not authorize, contact info@evmcs.com within 30 days of the charge. Licensor will review the request and, where the error is confirmed, refund the erroneous charge, and the license key issued for it will no longer be licensed for use.
2.6 Software issues. If the Software does not perform materially as described in its documentation, contact info@evmcs.com. Licensor will make reasonable efforts to correct the issue or provide a workaround. Any refund or license extension in that case is at Licensor’s sole discretion.
2.7 Payment and taxes. Fees are payable in advance. Payments are processed through Stripe or another processor identified at checkout. You are responsible for applicable sales, use, or similar transaction taxes, excluding taxes on Licensor’s net income. Taxes collected by Licensor will be identified where applicable.
2.8 Failed or disputed payments. Licensor may suspend or terminate a license for an unpaid, reversed, or fraudulent payment after reasonable notice where practicable. This provision does not restrict lawful payment-dispute rights.
3. RESTRICTIONS
Except as expressly permitted by this Agreement or applicable law, You may not:
(a) Copy the Software except for installation as licensed and reasonable archival backups that are not used as additional installations.
(b) Share, publish, sell, or transfer license keys.
(c) Reverse engineer, decompile, disassemble, extract protected code, or circumvent license or trial controls, except to the extent applicable law expressly permits despite this restriction.
(d) Rent, lease, sublicense, resell, distribute, or provide third parties direct access to the Software.
(e) Remove or obscure proprietary notices within the Software.
(f) Modify or distribute the Software or its underlying VBA modules, reusable templates, or code without written authorization.
(g) Use the Software unlawfully or process information You lack authority to use.
These restrictions do not prohibit authorized consulting services or distribution of Output under Section 1.
4. OWNERSHIP AND RESERVED RIGHTS
The Software is licensed, not sold. Licensor and its licensors retain all rights in the Software and its underlying code, VBA modules, formulas, reusable templates, documentation, designs, and other proprietary technology.
No ownership of that technology transfers through generation or delivery of Output. Licensor grants You a perpetual, nonexclusive right to use, reproduce, and distribute Licensor elements embedded in lawfully generated Output solely as necessary to use and share that Output. This permission does not authorize extraction or redistribution of those elements as a standalone tool or substitute for the Software.
Licensor acquires no ownership of Your Input Data or project-specific Output merely because You use the Software or submit information for support.
5. DATA, PRIVACY, AND SUPPORT FILES
5.1 Local processing. The Software processes project and schedule information locally in Microsoft Excel. The standard Software does not automatically upload Input Data or Output to Licensor.
5.2 Licensing information. Licensor processes information reasonably necessary to issue and administer licenses, such as name, email address, company, Machine ID, purchase information, and license status. License and trial information may be stored in the Windows registry or other documented local storage.
5.3 Privacy notice and payments. Licensor’s handling of personal information is described in its Privacy Policy at https://www.evmcs.com/privacy-policy. Payment information is handled through the applicable payment processor under its own terms and privacy notice. This Agreement does not authorize undisclosed collection of project data.
5.4 Support submissions. You may voluntarily provide files for support. You represent that You have authority to submit them and will remove unnecessary confidential information, personal information, credentials, and regulated data.
Licensor may use submitted files only to investigate and resolve the support request and perform related troubleshooting. Licensor will use reasonable care to protect nonpublic support files and restrict access to personnel or service providers who need access and are subject to appropriate confidentiality obligations.
Licensor will not use identifiable customer project content for marketing, public demonstrations, or training AI models without separate permission.
5.5 Retention. Support files will be deleted or returned under the retention practices stated in the Privacy Policy, subject to legal retention requirements and ordinary backup cycles.
6. THIRD-PARTY PRODUCTS AND COMPATIBILITY
The Software works with specified Microsoft Excel environments and Primavera P6 XER formats. You are responsible for obtaining valid third-party licenses and maintaining a supported operating environment.
Supported operating systems, Excel editions and architectures, and XER versions are listed in Annex A (System Requirements) and on the product page at https://www.evmcs.com. Compatibility with every P6 configuration, custom field, file variation, or future third-party release is not guaranteed.
Primavera and Oracle are trademarks of Oracle and/or its affiliates. Microsoft and Excel are trademarks of Microsoft Corporation. The Software is not affiliated with, sponsored by, or endorsed by those companies.
Any included third-party components remain subject to applicable notices and license terms supplied with them.
7. BACKUPS, VALIDATION, AND PROFESSIONAL RESPONSIBILITY
7.1 Backups. Before modifying, exporting, importing, or processing project information, You are responsible for retaining independent backups of original files and affected databases. The Software is not a backup or recovery service.
7.2 Test imports. Before importing Software-generated files into a production P6 environment, You must test them in a separate, nonproduction project or database and confirm that the import settings and resulting changes are appropriate.
7.3 Independent verification. Qualified personnel must review relevant dates, durations, relationships, calendars, codes, resources, costs, quantities, calculations, and other material information before Output is relied upon, submitted, or used for contractual, claims, financial, or operational decisions.
7.4 Professional judgments. Results depend on Input Data, configuration, assumptions, and third-party systems. The Software assists professional work but does not replace professional judgment or provide engineering, legal, accounting, or financial advice.
7.5 No certification. Output does not itself establish contractual compliance, schedule quality, ANSI/EIA-748 compliance, entitlement to compensation or time extensions, or admissibility of evidence. Any required review, certification, or acceptance remains Your responsibility.
Separately contracted consulting services, if any, are governed by their own written agreement.
8. SUPPORT AND UPDATES
During a paid term, Licensor will provide reasonable email support for installation, activation, and reproducible Software issues in supported environments.
Support excludes project consulting, schedule development, forensic analysis, data reconstruction, database recovery, custom programming, and third-party system administration unless separately agreed.
No particular response time, resolution time, or service level is promised unless separately agreed in writing.
The license includes maintenance updates made generally available without a separate charge to similarly situated licensees. Major upgrades, new modules, or separately priced features are included only if the applicable order expressly states so.
Licensor need not support modified copies, unsupported environments, or third-party products no longer supported by their manufacturers. Material changes to published support commitments during an existing paid term require Your agreement, except where reasonably necessary for security or legal compliance.
9. WARRANTY DISCLAIMER
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND RELATED SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH EVERY ENVIRONMENT, OR THAT ALL DEFECTS WILL BE CORRECTED.
Nothing in this Agreement excludes a warranty or remedy that applicable law does not permit to be excluded. Any express warranty expressly granted in a separate written agreement signed by Licensor is governed by that agreement.
10. LIMITATION OF LIABILITY
10.1 Excluded losses. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS; PROJECT DELAY OR DISRUPTION; OR LOSS, CORRUPTION, OR RECONSTRUCTION OF DATA, FILES, SCHEDULES, OR DATABASES, INCLUDING ASSOCIATED RESTORATION COSTS, ARISING OUT OF THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
10.2 Aggregate cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE FEES YOU PAID FOR THE AFFECTED SOFTWARE LICENSE DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. FOR TRIAL USE, THE AGGREGATE CAP IS US $100. MULTIPLE CLAIMS DO NOT INCREASE THE CAP.
10.3 Scope. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, INCLUDING CONTRACT, TORT, ORDINARY NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY, TO THE EXTENT PERMITTED BY LAW.
10.4 Exceptions. THESE EXCLUSIONS AND LIMITATIONS DO NOT APPLY TO LICENSOR’S FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR LIABILITY THAT APPLICABLE LAW PROHIBITS LIMITING OR EXCLUDING. NONWAIVABLE STATUTORY RIGHTS REMAIN UNAFFECTED.
11. TERMINATION
11.1 Expiration. The license expires at the end of its purchased term unless renewed.
11.2 Termination for remediable breach. For a material breach capable of cure, Licensor may terminate this Agreement if You fail to cure within fifteen (15) days after written notice describing the breach.
11.3 Immediate termination. Licensor may terminate immediately for deliberate license circumvention, unauthorized distribution, fraudulent activation, or another material breach that cannot reasonably be cured.
11.4 Effect of termination. Upon termination, You must stop using and uninstall the Software and cease using associated license keys. You may retain Input Data and Output lawfully created during authorized use. Termination does not transfer ownership of Your project information to Licensor.
11.5 Fees and discontinuation. Fees are not refundable upon termination for Your material breach, except as required by law. If Licensor permanently discontinues paid functionality during a prepaid term for reasons unrelated to Your breach, Licensor will refund the unused portion of the prepaid license fee.
11.6 Survival. Sections concerning ownership, permitted continued use of Output, confidentiality of support submissions, accrued payment obligations, warranty disclaimers, liability limitations, and general legal provisions survive as necessary to give them effect.
11.7 Effect of refund. If Licensor issues a refund for any reason, the license for that purchase ends on the date of the refund, and You must stop using and uninstall the Software, except that You may keep Output You created while licensed.
12. GENERAL TERMS
12.1 Governing law and courts. Texas law governs, without regard to conflict-of-law rules, subject to mandatory applicable law. To the extent permitted by law, the parties consent to exclusive jurisdiction in state courts located in Harris County, Texas, or federal courts in the Southern District of Texas, Houston Division.
12.2 Export compliance. You will comply with applicable export-control and sanctions laws.
12.3 Order of precedence. This Agreement and the applicable order confirmation constitute the agreement concerning the Software. The order confirmation may specify the purchased term, price, quantity, and expressly authorized license variations. Other terms override this Agreement only through a written agreement signed by an authorized representative of Licensor. Customer purchase-order boilerplate does not modify this Agreement merely because Licensor processes an order or accepts payment.
12.4 Amendments. Material amendments require affirmative agreement. Posting revised terms alone does not amend an existing accepted Agreement. Licensor may present revised terms for a renewal or new version; rejection does not itself eliminate rights already purchased for the existing version and remaining term.
12.5 Assignment. You may not assign this Agreement or transfer the license without Licensor’s written consent, except where applicable law requires otherwise. Licensor may assign this Agreement with a merger, reorganization, or transfer of the relevant business or assets, provided the successor assumes its obligations and Your purchased rights are not reduced.
12.6 Notices. Legal notices to Licensor must be sent to the postal or email address below. Licensor may send notices to Your most recently provided email address. Email notice is effective upon acknowledgment or another reliable indication of delivery; an automated delivery-failure notice does not establish delivery. You are responsible for keeping contact information current.
12.7 Severability and waiver. If a provision is unenforceable, it will be limited only as permitted by law, and the remaining provisions remain effective. Failure to enforce a provision does not waive later enforcement.
12.8 Events outside reasonable control. Neither party is responsible for delay caused by events beyond its reasonable control, excluding payment obligations already due. This provision does not excuse confidentiality obligations, reasonable data protection, or refunds expressly required by this Agreement.
12.9 No third-party beneficiaries. Except as expressly stated, this Agreement creates no enforcement rights for third parties.
